1. Agreement

These Terms and Conditions govern your access to and use of the Udyot platform and services provided by IT Service Nepal Pvt. Ltd., a company registered in Nepal. By creating an account or using our Services, you agree to these Terms.

2. Account Registration

You must provide accurate and complete registration information. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access. You must be at least 18 years of age or have legal authority to enter contracts on behalf of your organization.

3. Subscription and Payment

Services are provided on a subscription basis. Subscriptions auto-renew at the end of each billing period. You may cancel at any time; access continues until the end of the paid period. Prices are in Nepalese Rupees (NPR) and include applicable taxes. We reserve the right to change pricing with 30 days notice.

4. Acceptable Use

You agree not to use the Services for any unlawful purpose, attempt to gain unauthorized access to our systems, transmit malware or spam, reverse engineer or resell the Services without authorization, or use the Services to process data without proper legal basis.

5. Data Ownership

You retain full ownership of all business data you enter into the platform. We claim no intellectual property rights over your data. You grant us a limited license to store and process your data solely to provide the Services.

6. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. Status updates available at status.udyot.com.np.

7. Limitation of Liability

To the maximum extent permitted by Nepal law, Udyot shall not be liable for indirect, incidental, special, or consequential damages. Our total liability for any claim shall not exceed the amount you paid in the 12 months prior to the claim.

8. Indemnification

You agree to indemnify and hold harmless Udyot and its employees from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

9. Termination

We may suspend or terminate your account if you violate these Terms. You may terminate your account at any time. Upon termination, you have 30 days to export your data before it is deleted.

10. Governing Law

These Terms are governed by the laws of Nepal. Any disputes shall be resolved in the courts of Biratnagar, Nepal.

11. Changes to Terms

We may update these Terms. We will notify you of material changes with at least 14 days notice. Continued use after the effective date constitutes acceptance.
